Business Sale

Sell-side advisory for founders, families, and principals who will do this once.

The platform handles eligibility, onboarding, and ongoing administration.

Investors decide on each investment individually.

Most owners sell a company once. The buyer across the table does it for a living, and that asymmetry is priced
into every unadvised sale.

We prepare the business, run the process, negotiate the outcome, and manage completion. One firm, working alongside your existing advisers from preparation through settlement.

The mandate suits founder-led businesses, family enterprises, corporate carve-outs, and private portfolio companies. Cross-
border where required.

A sale takes
several forms.

The whole company

The business is prepared, taken to market, negotiated, and completed as a single process. Ownership, management transition, and transaction terms are resolved together.

A division or subsidiary

A division is separated and sold without disrupting the wider group. Separation planning forms part of the engagement.

A stake

Minority and majority stake sales are structured to protect the interests you retain. Where liquidity rather than a full exit is the objective, a recapitalisation may be the more appropriate solution.

A sale to management

Where management is the natural buyer, we structure the transaction and arrange the financing required to complete the acquisition.

An approach you did not seek

An unsolicited offer is rarely evaluated in isolation. We test the market discreetly so the offer can be assessed against competing interest before any decision is made.

The process.

Six phases, the same discipline every time.
Most sales run six to twelve months from the
first conversation to settlement.

I

Screening

We discuss the business, ownership, objectives, and whether we're the right firm. Confidentiality begins immediately where required.

II

Preparation

Financials are normalised, materials prepared, the data room assembled, and valuation established before the company enters the market.

III

Market

Qualified buyers are approached individually and in confidence. Identity follows a signed NDA.

IV

Offers & negotiation

Offers are compared on value, terms, and certainty—not price alone.

V

Diligence & documentation

Due diligence, documentation, and negotiations are coordinated to minimise repricing late in the process.

VI

Close & settlement

Settlement, handover, and completion are managed through to close.

One negotiation, every buyer.

The market converges on your terms, not the other way around.

Completion

the best offer, on the best terms

Every buyer negotiates against the market, not against you.

Four kinds of buyer, one staged process, one negotiation across all of them at once. The moment a buyer knows they are alone, you have already paid for it.

How the engagement differs.

Buyer Coverage

Strategics, sponsors, family offices, and private principals are approached directly through the firm's nine offices. Buyers are contacted individually, not through broad distribution lists.

One Firm Throughout

Preparation, buyer outreach, negotiation, documentation, and close are managed by the same team. Legal and accounting advisers are coordinated throughout the process.

Senior-Led Execution

The people leading the engagement are the people who execute it. Responsibility
remains with the same senior team throughout preparation, negotiation, and completion.

Cross-Border Capability

Cross-border ownership, operations, and buyers are managed within the transaction. Structuring is addressed alongside the sale process.

Confidentiality by Design

Blind profiles, staged disclosure, and NDAs protect confidentiality throughout the process. Information is shared only as the process requires.

Aligned Engagement

The firm acts only for the seller. Engagement terms are agreed before work begins, and
the principal fee is realised at completion alongside the transaction.

What we act on.

Selected sell-side mandates only.

The firm takes a limited number of sell-side mandates at any one time. Engagements typically involve founder-owned and family-owned businesses, divisions of larger groups, and private equity portfolio companies. Most transactions involve profitable
businesses with a cross-border dimension in the ownership,
operations, or buyer universe.

Terms are set out in the Engagement Agreement before work begins.

Asked before most mandates.

How long does a sale process typically take?

Most transactions complete within six to twelve months. Timing depends on preparation, buyer diligence, regulatory requirements, and transaction complexity.

Does the transaction have to involve the entire business?

No. Engagements include full company sales, majority and minority transactions, recapitalisations, divestitures, and management buyouts.

How is confidentiality maintained?

Potential buyers receive information progressively. Anonymous profiles are used initially, with names disclosed only after confidentiality agreements are executed.

What if we have already received an approach?

An unsolicited approach can become a structured process. The firm assesses the proposal, alternatives, valuation, and buyer landscape before recommendations are made.

How is valuation assessed?

Valuation is considered alongside buyer demand, transaction structure, market conditions, and strategic fit. The objective is the best overall outcome, not simply the highest headline price.

How are engagement fees structured?

The engagement terms are agreed before work begins. The firm's principal fee is realised at completion and is aligned with the transaction outcome.

No public references.

The firm does not name clients, counterparties, or terms.

Not in marketing, not in conversation, not after the fact. What appears on this page is generalised beyond identification, and the clients best placed to vouch for the work are the reason we
will not ask them to. If discretion matters to you before a sale, it should matter to your advisor after one.

Considering a sale,
now or in the future.

Every mandate begins with an initial discussion. If you would like
the firm to review your situation, request an initial discussion. If appropriate, the proposed scope of work and next steps will be set out. Confidentiality arrangements, including an NDA where required, can be established before detailed information is shared.
